By accessing or using the sigmahubnovaes construction delay risk analytics platform and related services, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User", "you", or "your") and sigmahubnovaes B.V., a Dutch company registered under number KvK85296374 ("Company", "we", "our", or "us").
If you do not agree to these Terms, you must not access or use our services. By creating an account or using our platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
sigmahubnovaes provides a cloud-based construction delay risk analytics platform that uses machine learning and data analysis to predict and assess potential delays in construction projects. Our services include predictive modelling, real-time project monitoring, risk assessment tools, custom reporting, and related analytics features.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We may also impose limits on certain features or restrict access to parts or all of our services without notice or liability.
To access our services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorised use of your account or any other breach of security.
You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using our services on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.
You agree to use our services only for lawful purposes and in accordance with these Terms. You represent and warrant that you have all necessary rights to provide User Content to us and that your User Content does not violate any third-party rights or applicable laws. You are solely responsible for the accuracy, completeness, and legality of your User Content.
Our platform, including all software, algorithms, designs, text, graphics, and other content, is owned by sigmahubnovaes or our licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use our services in accordance with these Terms.
You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of our platform, unless laws prohibit those restrictions or you have our written permission.
Our services are provided on a subscription basis with fees as specified in your service agreement or on our website. You agree to pay all applicable fees and charges incurred under your account. All fees are non-refundable except as expressly stated in these Terms or required by law.
We may change our pricing at any time, but price changes will not affect your current subscription period. We will provide reasonable notice of price changes for future subscription periods. Your continued use of our services after a price change constitutes acceptance of the new pricing.
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.
We implement appropriate technical and organisational measures to protect your data, but we cannot guarantee absolute security. You acknowledge that you provide your information at your own risk.
To the maximum extent permitted by law, sigmahubnovaes shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or relating to your use of our services, even if we have been advised of the possibility of such damages.
Our total liability to you for all claims arising out of or relating to these Terms or our services shall not exceed the amount you have paid to us for our services in the twelve months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.
Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that our services will be uninterrupted, error-free, or completely secure. You acknowledge that our analytics and predictions are based on available data and algorithms, and we make no guarantee about the accuracy or reliability of any predictions or recommendations provided by our platform.
You agree to indemnify, defend, and hold harmless sigmahubnovaes and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or relating to your use of our services, your User Content, or your violation of these Terms.
These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of the Netherlands.
If you are a consumer resident in the European Union, you may have the right to bring proceedings in the courts of your country of residence, and nothing in these Terms affects your rights as a consumer under applicable EU consumer protection laws.
You may terminate your account at any time by contacting us or through your account settings. We may terminate or suspend your account and access to our services immediately, without prior notice, if you violate these Terms or for any other reason at our sole discretion.
Upon termination, your right to use our services will cease immediately, and we may delete your account and User Content. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
We may modify these Terms at any time by posting the revised Terms on our website. We will provide notice of material changes through our platform or by email. Your continued use of our services after the effective date of any changes constitutes acceptance of the revised Terms.
If you do not agree to the modified Terms, you must stop using our services and may terminate your account. We recommend that you review these Terms periodically to stay informed of any changes.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
